One of the leading companies in the aerospace industry, Airbus SE (Stock Exchange Code: AIR), has signed a definitive agreement with Spirit AeroSystems for the acquisition of industrial assets related to its commercial aircraft programs.
Under the new agreement, Airbus will acquire the following strategic production facilities from Spirit AeroSystems:

Kinston, North Carolina (USA) – Production of A350 fuselage sections

St. Nazaire, France – Production of A350 fuselage sections

Casablanca, Morocco – Production of A321 and A220 aircraft components

Wichita, Kansas (USA) – Production of A220 pylons

Belfast, Northern Ireland – Production of A220 wings
Additionally, Airbus will acquire the production activities for A320 and A350 wing components at the Prestwick, Scotland facility. Spirit AeroSystems plans to sell its Subang, Malaysia facility to a third party.
The compensation payment to be made by Airbus has been revised in line with the binding term sheet announced on July 1, 2024. Accordingly, Airbus will pay Spirit AeroSystems an amount of 439 million USD at closing, subject to certain adjustments.
In a statement made by the company, it was noted that the financial impact of the agreement is consistent with Airbus’s 2025 financial guidance (Adjusted EBIT and Free Cash Flow before Customer Financing) published on February 20, 2025.
With this strategic move, Airbus aims to achieve sustainable growth both operationally and financially, strengthen supply security for its commercial aircraft programs, and manage core production processes more effectively.
The transaction and official transfer of the relevant assets are expected to be completed in the third quarter of 2025, following the necessary regulatory approvals and other customary processes.
Meanwhile, under a memorandum of understanding signed between Airbus and Spirit AeroSystems, it was also announced that Airbus will provide Spirit AeroSystems with an interest-free loan totaling 200 million USD. This loan will be used by Spirit AeroSystems to support Airbus programs.
